Terms
These Terms of Sale and Use, together with the invoice issued by The Just Culture Company, LLC ("TJCC") form the agreement between you and TJCC for the Item(s) identified in the invoice (the "Agreement").

License and Use Limits. Subject to this Agreement and full payment, TJCC gives Buyer a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Item(s) described in your invoice only for your internal, non-commercial, educational purposes. You will not, and will not allow any other person to: (a) sell, license, publish, distribute, or share the Item(s)  with any third party; (b) use the Item(s)  for commercial, marketing, benchmarking-for-hire, or service bureau purposes; (c) copy, modify, adapt, create derivative works from, reverse engineer, decompile, disassemble, or try to extract the source code, structure, questions, scoring logic, or underlying methods of the Item(s)  ; or (d) use the Item(s)  in any way that violates law or infringes another person’s rights. TJCC reserves all rights not expressly granted by this Agreement.

Proprietary Notices. You will not remove, cover, or change any copyright, trademark, confidentiality, or other proprietary notice in the Item(s) or deliverables provided to you as part of the Item(s).

Ownership. TJCC and its licensors keep all right, title, and interest in and to the Item(s), all related software, content, documentation, and all intellectual property rights in them. 

WARRANTIES AND DISCLAIMERS.  EXCEPT AS EXPRESSLY STATED IN THIS AGREEMENT, ITEM(S) ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTY, CONDITION, OR ANY OTHER TERM OF ANY KIND. ALL WARRANTIES, CONDITIONS, AND OTHER TERMS IMPLIED BY STATUTE OR COMMON LAW INCLUDING, WARRANTIES OR OTHER TERMS AS TO SUITABILITY, MERCHANTABILITY, SATISFACTORY QUALITY AND FITNESS FOR A PARTICULAR PURPOSE, ARE EXCLUDED.

Limitation on Liability. TJCC will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost revenue, lost business, lost data, or business interruption, even if advised of the possibility. TJCC’s total liability arising out of or related to this Agreement will not exceed the amount you paid TJCC for the Item(s).

Entire Agreement. This Agreement is the sole and entire agreement between us with respect to the Item(s), and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, with respect to this subject matter.

No Assignment. You may not assign any of your rights under this Agreement without TJCC’s prior written consent.

Governing Law. This agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania. 

Notices. Notices under this Agreement must be in writing and sent by certified mail, overnight courier, or email to the addresses in the invoice.
